Europcar: green light from AMF for proposed takeover bid

com) -The AMF has declared compliant the proposed takeover bid for Europcar Mobility Group shares, filed by Bank of America Europe DAC (France branch) and BNP Paribas, acting on behalf of Green Mobility Holding.

Green Mobility Holding irrevocably undertakes to acquire all of the existing shares, with the exception of treasury shares, at a price of 0.50 euro per share, i.e. a total of 5,007,087,758 shares representing 99.83% of Europcar's share capital.

In the event that the offeror holds over 90% of the share capital and voting rights at the end of the offer, or, as the case may be, of the reopened offer, enabling it to request the implementation of a squeeze-out, a price supplement of 0.01 euro per share will be paid.
