EDF: files proposal for simplified tender offer

(CercleFinance.com) - Goldman Sachs Bank Europe and Société Générale, acting on behalf of the French State, have filed a simplified tender offer for the shares of the public company EDF with the Autorité des marchés financiers on 4 October 2022.


To date, the offeror holds, directly and in concert with EPIC Bpifrance, 3,252,572,223 shares representing 5,785,532,806 voting rights, i.e. 83.69% of the company's capital and 89.13% of its voting rights.

The offeror also holds 87,831,655 bonds convertible and/or exchangeable for new and/or existing shares ("océanes") due in 2024, i.e. 40.00% of the 2024 "océanes" in circulation.
