Thales: launches takeover bid on Gemalto
(CercleFinance.com) - Gemalto and Thales have announced the launch of a recommended tender offer in cash on all of Gemalto shares at a price of 51.

The recommended tender offer in cash on all of Gemalto's common shares, including those represented by American Depository Shares ("ADS"), with two ADS representing one ordinary share, at a price of 51.00 euros (coupon attached) per ordinary share and 25.50 euros per ADS.
Gemalto's Board fully supports the offer and unanimously recommends shareholders to tender their shares to the offer. All members of Gemalto's Board of Directors who have shares are irrevocably committed to tendering them all to the offer.
The acceptance period will begin on 28 March and will close on 6 June.
Philippe Vallée, Gemalto's CEO added that Thales and Gemalto teams are working together to obtain the necessary permits to ensure the deal goes ahead.
