AMS: takeover bid on Osram Licht

(CercleFinance.com) - AMS announces that it has submitted an offer to buy 100% of Osram Licht's capital at a price of 38.
5 euros per share, representing a 10% premium over the offer made by Bain Capital and The Carlyle Group on 4 June.

From this potential deal, the Austrian semiconductor manufacturer expects pre-tax cost and revenue synergies of over 300 million euros, with it having an accretive effect on its EPS in the first year after finalisation.

However, it has asked the German supplier of lighting solutions to abandon the agreement reached with Bain and Carlyle to enable its offer to be launched, which is accompanied by a whole series of commitments to all stakeholders.
