Elis: agreement on terms of merger with Berendsen.
(CercleFinance.com) - Elis' supervisory board of and Berendsen's board of directors have announced that they have reached an agreement on the terms of a recommended acquisition of the entire capital issued and to be issued from Berendsen by Elis.
For each Berendsen share Berendsen's shareholders will receive 5.40 pounds sterling in cash and 0.403 of each new Elis share and will be entitled to receive an interim dividend of 11 pence per Berendsen share, which will be paid in the first half of 2017.
As at 9 June, the terms of the transaction valued each Berendsen share at 12.45 pounds (excluding interim dividend), giving Berendsen a total value of approximately 2.17 billion pounds sterling on a fully diluted basis.
