Orange: launches simplified offer on Business & Decision
(CercleFinance.com) - The AMF has declared that the proposed simplified tender offer (OPAS) filed by broker Portzamparc acting on behalf of Orange's subsidiary Network Related Services, on Business & Decision's shares, as compliant.
The offeror irrevocably undertakes to acquire all the 2,556,669 shares (32.43% of the capital and 34.10% of the voting rights) that it does not already hold, at a price of 7.93 euros per share.
In the event that the conditions are met at the end of the offer, within three months after the closing of the bid, it will request the implementation of a squeeze-out for the shares not presented at a unit price of 7.93 euros.
