Vivendi: towards referral to Commercial Court
(CercleFinance.com) - Vivendi announces its intention to refer, jointly with Amber Capital, to the Paris Commercial Court to request that Lagardère's EGM be convened, after the supervisory board and managing partners' refusal to do so.
Lagardère announced on Monday evening that its supervisory board has rejected the request from Amber Capital and Vivendi to hold an extraordinary general meeting, considering that "the legal conditions required to diverge from the corporate schedule known to all shareholders are not presently satisfied".
On 10 August, Vivendi and Amber Capital (which respectively hold 23.5% and 20% of Lagardère's share capital) signed an agreement for each have a minority representation on the supervisory board, with three members for Amber Capital and one member for Vivendi.
