Thales: agreement to take over Gemalto.
(CercleFinance.com) - Thales and Gemalto have announced the signing of an agreement relating to a cash bid, at 51 euros per share (coupon attached), for all of Gemalto's shares, representing a premium of 57% over the closing price of 8 December.
Thales explains that with the digital security specialist, it will increase the revenues of its digital activities by over 3 billion euros, and will acquire a range of technologies and skills that applies to all its markets.
The group will finance the offer by using its free cash and dedicated bank funding of four billion euros. The operation is set to be completed shortly after the usual regulatory approvals are obtained in the second half of 2018.
