Sanofi: tender offer to acquire Principia Biopharma
(CercleFinance.com) - In accordance with the agreement and merger plan dated 16 August, Sanofi has announced its intention to launch a takeover bid on Principia Biopharma shares in cash at a price of 100 dollars each.
The offer will expire one minute after 11.59 pm, New York time on 25 September, unless it is extended in accordance with the provisions of the merger agreement and the applicable rules and regulations of the SEC.
The closure of the offer is subject to a number of conditions, including the tendering of at least the majority of ordinary shares in circulation. Principia will continue as the surviving corporation and becoming an indirect, wholly-owned subsidiary of Sanofi.
