Sopra Steria: draft takeover bid filed for CS Group
(CercleFinance.com) - Société Générale, acting on behalf of Sopra Steria Group, has filed with the AMF a simplified public tender offer (OPAS) for CS Group shares, a project announced on 28 July 2022.
The initiator irrevocably undertakes to acquire, at 11.50 euros, all of the 6,064,393 shares that it does not hold, representing 24.68% of the capital and 23.56% of the voting rights (the 62,181 treasury shares are not to be tendered to the offer).
Sopra Steria intends to request, within a period of three months following the closing of the offer, and if the required conditions are met, the implementation of a squeeze-out for the CS Group shares not tendered, at a price of 11.50 euros per share.
