Osram: talks to begin with ams
(CercleFinance.com) - On Monday Osram announced that it intends to open negotiations with ams, the Austrian semiconductor manufacturer which offered to take it over at a price of 38.
5 euros per share.
While it considers that ams' financing plan is "binding" and "viable", the German lighting group explains that it will attach great importance to the industrial project presented by the potential buyer.
Osram says it plans to accelerate its transformation into a hi-tech company specialising in semiconductor-based photonic technologies.
The group adds that ams will also have to provide it with certain guarantees regarding the protection of shareholders and employees.
For the record, the ams offer values Osram on the basis of an enterprise value of around 4.3 billion euros, a deal to be financed by a bridge loan preceding a forthcoming capital increase.
