Linde: Praxair exchange offer begins today.
(CercleFinance.com) - German industrial gases group Linde and its US peer Praxair said on Tuesday that they have launched an exchange offer to finalise their planned merger of over 70 billion dollars.
Under terms of the deal, Linde AG's business will be brought under Linde plc through an exchange offer under the German law, while Praxair's business will be brought under Linde plc through a merger transaction in the US.
For each Linde share, shareholders will receive 1.54 shares in Linde plc.
If approved by Praxair's shareholders in late September, the merger transaction will become effective in the second half of 2018.
